Acceptance of these terms
These terms and conditions (“Terms”) apply when you visit rootwright.com, download the RootWright LMS plugin, buy a Pro licence or take part in our beta program. By doing any of these, you agree to the Terms. If you accept them on behalf of a company or a client, you confirm that you have the authority to do so.
If you do not agree with the Terms, please do not use our website or products. Our privacy policy explains how we handle personal data and forms part of these Terms.
Who we are
RootWright LMS is made and sold by [Company legal name] (“RootWright”, “we”, “us”), with its registered address at [Company address]. “You” means the person or organisation using our website or products.
Accounts
You need an account to buy a licence, download Pro, manage your sites and get support. When you create one, you agree to:
- Give accurate information and keep it up to date.
- Keep your password and licence keys private.
- Tell us promptly at [support email] if you think someone has used your account without permission.
You are responsible for activity under your account. To create one, you must be old enough to enter a binding contract where you live.
The free plugin
The free version of RootWright LMS is distributed through WordPress.org and licensed under the GNU General Public License, version 2 or later (GPL). You may use it on as many sites as you like, and study, change and share it under the terms of the GPL.
Nothing in these Terms limits the rights the GPL gives you over the plugin code. The free version comes without paid support. We may answer questions on the WordPress.org support forum, but we do not promise a response time.
Pro licences
A Pro licence lets you activate RootWright LMS Pro on a set number of websites and receive updates and support while the licence is active. The site limit depends on your plan:
- Basic. [1] site
- Pro. [5] sites
- Advance. [Unlimited] sites
Yearly and lifetime licences
- Yearly. Updates and support for one year from the date of purchase, renewed as described in section 6.
- Lifetime. Updates and support for a one-time payment, for as long as we sell and maintain RootWright LMS Pro.
If a yearly licence is not renewed, [Expiry behaviour]. You can renew at any time to restore updates and support.
The Pro plugin code is also licensed under the GPL. Your licence key unlocks our services, which are updates, downloads and support, and it is for your own sites only. Do not share, publish or resell it. [Staging site policy].
Payments, renewals and refunds
Prices are shown on our pricing page and may or may not include taxes, depending on where you live. Our payment processor handles checkout, and its own terms also apply to your payment. You agree to pay all fees for the plan you choose.
Renewals
Yearly licences renew according to our [Renewal policy]. You can turn off automatic renewal from your account at any time before the renewal date, and your licence stays active until the end of the period you have paid for.
Refunds
If RootWright LMS Pro is not right for you, ask for a refund within [Refund window] of your purchase by emailing [support email]. When we issue a refund, the licence is deactivated and updates and support stop.
Nothing in these Terms affects refund or cancellation rights you have under the consumer law of the country you live in.
Beta program
Beta members get pre-release versions of RootWright LMS before they are generally available. By joining the beta, you understand and accept that:
- Beta software is unfinished. It may contain bugs, lose data or stop working.
- You should install it on a staging or test site, not on a live site with real students or payments.
- Features, data structures, settings and prices may change or be removed before launch.
- We may end the beta, or your access to it, at any time.
- Beta builds are provided as is, without warranties or support commitments.
Feedback
We welcome feedback, bug reports and ideas. When you send them, you allow us to use them to improve our products, without any obligation to you. We will not name you or your website publicly in connection with your feedback without asking first.
Acceptable use
When you use our website, products and services, you agree not to:
- Break the law, or use RootWright LMS to sell or distribute unlawful content.
- Share, publish or resell licence keys, or bypass licence checks to get updates or support you have not paid for.
- Try to break into, overload or disrupt our website, licence or update servers.
- Send spam or malicious code through our forms or support channels.
- Infringe the intellectual property or privacy rights of others.
- Pretend to be RootWright, or suggest that we endorse you when we do not.
If you break these rules, we may suspend your access to our services, as described in section 14.
Your content and your students’ data
You own your courses, your content and your students’ data.
Everything you create with RootWright LMS, including courses, lessons, quizzes and media, belongs to you. The plugin stores your students’ data in your own WordPress database, on your server. RootWright does not receive it and claims no rights over it.
Because the data lives on your site, you are responsible for it. That includes backups, securing your hosting, having a lawful basis to process your students’ data, and publishing your own privacy policy and terms for your students.
If you share access, screenshots or data with us during a support request, we use it only to help you, as described in our privacy policy.
Third-party services
RootWright LMS can connect to services run by other companies, such as Stripe, Paddle, Lemon Squeezy and Telegram, and it relies on your WordPress host and your site’s email setup. You decide which of these to turn on. Each service is governed by its own terms and privacy policy. We are not responsible for how those services work, their availability or their fees.
Intellectual property and trademarks
Our website, documentation, designs and branding belong to [Company legal name] or our licensors. Apart from plugin code licensed under the GPL, you may not copy or reuse them without our permission, except where the law allows.
“RootWright”, “RootWright LMS” and the RootWright logo are trademarks of [Company legal name]. The GPL covers code, not our name or logo. If you modify and redistribute the plugin, remove our name and logo so nobody mistakes your version for ours. You may use our name to describe compatibility accurately, for example “works with RootWright LMS”.
Disclaimers
We work hard to make RootWright LMS reliable, but no software is perfect. To the extent the law allows, our website, plugins and services are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not promise that the plugin will be free of errors, work with every theme, plugin or hosting setup, or meet every one of your requirements. Keep regular backups, and test updates on a staging site before you apply them to your live site.
Limitation of liability
To the extent the law allows, RootWright is not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or goodwill, arising from your use of our website or products.
Our total liability for any claim relating to these Terms or our products is limited to the amount you paid us for the product concerned in the [Liability period] before the claim arose.
Some jurisdictions do not allow these limits, so they may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
Termination
You can stop using our products at any time, and you can cancel automatic renewal from your account.
We may suspend or end your account or licence if you seriously or repeatedly break these Terms, for example by sharing licence keys. Where it is reasonable, we will tell you first and give you a chance to fix the problem.
When a licence ends, updates and support stop. Your rights under the GPL for code you have already received continue, and your content and student data stay on your server.
Governing law
These Terms are governed by the laws of [Jurisdiction]. Disputes will be resolved by the courts of [Jurisdiction], unless the consumer law of your country gives you the right to bring a claim where you live.
Before you start any formal dispute, please contact us at [support email]. Most problems can be solved by talking.
Changes to these terms
We may update these Terms when our products, prices or the law change. The “Last updated” date at the top shows the current version. For significant changes, we will give you notice by email or on our website before they take effect. If you keep using our products after that, the updated Terms apply. Changes do not affect purchases you made before they took effect, unless the law requires otherwise.
